Private limited liability companies registered until the 31st of December 2014, in the period from the 1st of January 2015 until the 31st of December 2016, have to change their statutes specifying the share capital and the nominal value of shares denominated in euro, in accuracy of eurocents.
In accordance with the Lithuanian joint stock companies’ and limited liability companies’ share capitals and securities’ nominal value denominated in euro and these companies’ statutes changing law, joint stock companies and limited liability companies because of the currency changes in the Republic of Lithuania will have to change their statutes until the 31st of December 2016.
For the changing of statutes is required the decision of the general meeting of shareholders, but if the statutes will be changed only by changing the amount of share capital, the majority votes of participating shareholders is enough to change the statutes.
The charge for the changing of statutes because of the euro introduction was reduced by more than five times from the 1st of January 2015. Limited liability company’s fee for the submitting the changed statutes electronically in the register of legal entities, when the changes are related to the introduction of the euro in Lithuania, is only 5 EUR.
